E. Robert Lupone Appointed Executive Vice President, General Counsel & Secretary of Textron; Terrence O’Donnell to Retire

PROVIDENCE, R.I.-( Business Wire )-Textron Inc. (NYSE: TXT) today announced that E. Robert Lupone has been named executive vice president, general counsel, secretary and chief compliance officer of the company, effective January 31, 2012. He succeeds Terrence O’Donnell, 67, who is retiring after 12 years of outstanding service to Textron.
Lupone has been serving as senior vice president and general counsel of Siemens Corporation (U.S.) since 1999 and as general counsel of Siemens AG for the Americas since 2008, overseeing its legal and compliance functions. Throughout his 20-year career at Siemens, Lupone has managed a broad array of legal functions for Siemens management and operating groups, including litigation, M&A, corporate law, commercial and finance law, compliance and regulatory matters, government contracting, technology licensing, employee benefits, real estate and environmental matters.
Prior to joining Siemens, Lupone was vice president and general counsel of Price Communications Corporation, and earlier in his career, an attorney specializing in mergers, acquisitions, and securities at the New York-based international law firms of Fried, Frank, Harris Shriver & Jacobson and Rogers & Wells. He is a graduate of Brown University and Georgetown University Law Center.
Lupone will report directly to Textron Chairman and CEO, Scott Donnelly. “Bob is a highly talented attorney with an impressive track record from one of the world’s largest and most complex companies,” said Donnelly. “His leadership experience and legal expertise—which spans a diverse range of industries, countries and areas of law—will be a tremendous asset as Textron continues to grow and expand globally.”
In reference to Terrence O’Donnell, Donnelly added, “Since joining Textron in 2000, Terry has been a highly valued and respected leader who has played an integral role in the strategic decisions that have shaped Textron and positioned the company for future growth.” In addition to heading up all aspects of the legal and litigation functions, O’Donnell has served as corporate secretary, chief compliance officer, chairman of the compliance steering committee, chairman of the legal council, and head of the company’s environmental, health and safety organization.
Donnelly added, “Terry’s wise counsel and leadership have enabled Textron to achieve the highest level of ethical standards while enhancing the value our legal function brings to our businesses. We and our Board are grateful for his years of dedication and service to the corporation and wish him the very best as he retires from Textron and returns to his Washington D.C. legal practice.”
